General trading conditions |

| 1.) |
Delivery |
| |
| a) |
Delivery results from a written, verbal or telephone order. |
| b) |
The delivery period is without obligation if a firm date of delivery is not previously confirmed by us in writing. "Force Majeure" releases us from all promised delivery dates. Inability of suppliers to deliver, traffic interruptions and handicaps due to strikes or lockouts are also valid as cases of "Force Majeure". |
| c) |
Despatch is to the address given in the order. This is carried out free arrival for a net value of over
€ 250,-. For orders with a net value of less than € 250,- we charge the carriage costs according to outlay.
For orders with a value of less than € 50,- we charge a minimum quantity surcharge of € 5,-. |
| d) |
We reserve the right to choose the method of carriage, but always try to fulfil special wishes, without obligation for us. Additional carriage costs arising from this are charged to the consignee. |
| e) |
The goods travel at the consignee´s risk. |
| f) |
Disregard of the conditions, in particular overdraft of the date of payment mentioned under item 2 (Payment), relieves us automatically of any further delivery obligation until the outstanding balance is paid to us by the customer. | | |
| 2.) |
Payment |

All invoices are due for payment 30 days after the invoice date, unless specifically agreed otherwise in writing. For payments within 10 days we grant 3% discount. If the due date is exceeded, we are entitled to charge 10% interest. The discount payment period is considered as fulfilled if the amount is credited to our account within the prescribed period.
Exports are delivered exclusively “cash on delivery” or against advance payment, or with credit card: VISA or MASTERCARD. On submission of discountable drafts the draft costs, fees, interest, etc. are for the purchaser’s account. Cash discount is inadmissible for payments by draft. | |

Retention of title |

The supplied goods remain the property of the supplier up to completion of full payment of the purchasing price including all additional charges (for payment by cheque or draft up to redemption of same). Before complete payment, sale of the goods is only permissible by proper course of business. The goods may neither be pawned to third parties nor transferred as security until complete payment. In case of access by a third party the customer commits himself to raise immediate contradiction and to inform us immediately. Herewith the purchaser surrenders all entitled demands arising from the on-sale of unpaid goods to us. This retention of title is generally recognized by the purchaser on placement of every order. | |

Complaints |

The customer is obliged in each case to inspect every delivery immediately upon receipt for completeness and lack of deficiencies. Missing packages or damage to same must be confirmed by the carrier on the shipping documents. Complaints without detailed particulars or without presentation of this confirmation by the carrier are impossible.
We can only consider complaints if they are placed in writing within 8 days of receipt of the goods. Exchange of ordered goods is only possible in case of justified notice of defect and after previous agreement. | |

Opposing purchasing conditions |

Opposing purchasing conditions of our customers are excluded unless specifically recognized by us in writing. Any note of such purchasing conditions by the purchaser on purchase order forms is not binding for us. | |
| 6.) |
Place of delivery and place of jurisdiction |
| |
| a) |
Place of delivery for supplies and payments is Salzburg (Austria). |
| b) |
Exclusive place of jurisdiction for all law cases is the pertinent responsible court in Salzburg (Austria). | | |
| 7.) |
Declaration of agreement |
| |
On placement of an order, the above-mentioned terms of delivery and payment are expressly accepted and agreed without reserve. | |
